Business Law

ÚSI-1SAOBAcad. year: 2017/2018

Subject is aimed at problems of business law and bankruptcy and liquidation. Students will be acquainted with business relations of obligation, with mandatory and dispositive legal norms. Emphasis will be laid on specific contract types from the point of view of legal praxis and on individual contract law and important pertinences of contract types.

Students will be able to conclude most common types of business law contracts.

Planned learning activities and teaching methods

Teaching is carried out through lectures that consist of interpretations of basic principles, methodology of given discipline, problems and their exemplary solutions.

Assesment methods and criteria linked to learning outcomes

Active participation in seminars is a condition for gaining credit.

Course curriculum

1. Structure of Business Code, work with Business Code, terms and relations to Civil Code, status of business law in legal order.
2. Companies, basic division, basic characteristic of companies, comparison, associations.
3. Business of native citizens and foreigners, relation to Small business law, accountancy of businessmen.
4. Contract types - application in praxis, problems.
5. Business register, development, history, present status, economic competition.
6. Conclusion of business contracts, basic belongings, contract changes, dismissal, ending, limitation of time, contractual fine, assurance, avoidance of contract.
7. Comparison of contracts concluded according to Business Code and Civil Code, contract of work, contract of future contract.
8. Contract of purchase, contract of sale or rent of company, credit contract, licence contract to object of industrial property.
9. Contract of storage, commission contract.
10. Mandate contract about control activity, forwarding contract, contract of transport.
11. Contract of bank stake. Contract of storage, contract of current and deposit account.
12. Contracts of charter or rent of means of transport, brokerage contract, contract of trade representation, contract of silent partnership.
13. Insolvent law Nr. 328/1991 Col., interpretation of law, relation to Business Code, novels, present status.

Goal of the subject is to acquaint students with structure of Business law act. General attention will be dedicated to the status of businessmen and selected relations connected with business.
